中文摘要:美国存托凭证(ADR)方式已成为中国企业在美筹资的重要途径,得到了迅速发展.本文对中国企业的境外筹资环境进行了分析,比较了各类ADR方式的特点,提出企业应根据ADR方式的特点、自身的发展以及外部环境,选择合适的境外上市方式筹资.建议有条件的中国企业在发行B股的同时,发行三级公募ADR并在中国和美国两地同时上市.
