| 中文摘要:为避免不必要的纠纷，营业转让合同以采取书面形式为宜。我国法律将来对营业转让作出规制时，应将营业转让合同的书面形式规定为任意性条款，同时应规定营业转让合同的一般条款，供当事人签订合同时选择。对于营业转让的范围，一般情况下，应以当事人约定为准。营业转让人负有移转营业的义务和竞业禁止的义务，在立法上应赋予营业转让人营业优先权；营业受让人负有支付转让价金的义务，商法应确立营业受让人的减价权。 |

| Typical Analysis on Business Transfer Contract as An Atypical Contract |

| Abstract:In order to avoid unnecessary dispute, the written form shall be adopted in business transfer contract. When in the future the law formulates business transfer, the written form of business transfer contract shall be provided as optional provisions, and in the same time, the law shall provide the general clauses of business transfer contract from which the parties can choose when entering into a contract. In general, the scope of business transfer shall be subject to the agreement of the parties. The transferor shall bear the obligation of transferring business and prohibition against competition, and the right of business priority shall be conferred on the transferor in the future law. The transferee shall bear the obligation of making the payment, and the right of reducing price shall be established in the commercial law. |
